Shared Platform Terms
Version 1.0 — Effective August 26, 2026
These Shared Platform Terms (“Platform Terms”) are a binding agreement between Base509 LLC, a California limited liability company (“Base509,” “PetAppro,” “we,” “us,” or “our”), and each person or organization that accesses or uses PetAppro. PetAppro includes petappro.com, the PetAppro mobile applications, the PetAppro provider portal, related software, and associated services (collectively, the “Service”).
The Platform Terms apply together with the role-specific agreement identified below:
- The Provider Terms apply to a pet-care business that subscribes to or operates through the Service and to its Authorized Users.
- The End Client Terms apply to a pet owner or other customer who uses the Service to interact with a Provider.
The applicable role-specific agreement and these Platform Terms form one agreement. If a person uses PetAppro in both roles, the Provider Terms govern Provider business use and the End Client Terms govern End Client use.
1. Definitions and agreement
A “Provider” is an independent pet-care business that uses the Service. Providers are Base509’s subscription customers. An “End Client” is a pet owner or other customer of a Provider. An “Authorized User” is an owner, administrator, manager, staff member, contractor, or other person whom a Provider authorizes to use its account.
You accept the applicable agreement by creating an account, selecting an acceptance control, accessing a paid subscription, or otherwise using the Service after being presented with it. If you act for a Provider, you represent that you have authority to bind it. Electronic acceptance and records have the same effect as paper signatures and records to the extent permitted by law. You may download or print each agreement.
Our Privacy Policy explains how we handle personal information. Our Acceptable Use Policy is incorporated into each role-specific agreement and these Platform Terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering a contract to create or control a PetAppro account. A person acting for a Provider represents that the Provider is validly organized or lawfully operating and that the person has authority to act for it.
The Service is offered for lawful business and personal use in the United States. You may not use the Service if applicable law prohibits you from doing so or if Base509 has terminated your access for a material violation.
3. Accounts, authentication, and security
You must provide accurate, current information and keep it updated. PetAppro supports four sign-in methods: email one-time code (OTP), email and password, Google sign-in, and Apple sign-in. Email/password accounts require email verification and support a password-reset process. PetAppro may permit verified methods to be linked to one stable Base509 account.
Provider Owners and Administrators must enroll in and use time-based one-time-password multi-factor authentication.
PetAppro may require recent reauthentication or additional verification before personal-information changes, billing changes, ownership transfers, exports, deletion, or other sensitive actions.
You are responsible for protecting passwords, linked sign-in accounts, authentication devices, recovery information, multi-factor codes, and active sessions. Do not share an individual account or authentication factor. Notify support@base509.com promptly if you suspect unauthorized access.
Base509 may revoke sessions, reset or revoke authentication factors, restrict access, or require additional verification to protect an account or the Service.
4. Role boundaries and independent Providers
PetAppro provides business software. Base509 does not provide, supervise, direct, inspect, guarantee, or insure pet-care services. Base509 is not a marketplace, broker, agency, employer, veterinarian, insurer, or party to a pet-care agreement between a Provider and an End Client.
Providers independently decide what services to offer, whom to serve, how to perform services, what to charge, what policies apply, and whom to employ or engage. Base509 does not vet, screen, background-check, license, certify, rate, rank, recommend, endorse, or approve Providers, their personnel, facilities, insurance, or qualifications.
An End Client must independently evaluate a Provider. A Provider’s PetAppro account, subscription status, Stripe onboarding, or compliance with platform rules is not an endorsement or assurance of service quality, safety, licensing, bonding, insurance, or fitness.
5. Acceptable use
You must follow the Acceptable Use Policy and may use the Service only for its intended lawful purpose. Prohibited conduct includes fraud, abusive payment activity, unauthorized access, interference, malicious code, harassment, animal cruelty, misuse of personal information, unconsented location tracking, infringement, spam, and attempts to evade tenant, role, seat, client, payment, or entitlement controls.
You may not use the Service for emergency dispatch, veterinary diagnosis or treatment, human health care, insurance, lending, money transmission, stored value, cryptocurrency, securities, gambling, law-enforcement surveillance, or another regulated or high-risk service that PetAppro is not designed or authorized to provide.
PetAppro is not an emergency service or a substitute for veterinary care, animal-control services, law enforcement, or emergency responders.
6. Content and data rights
“User Content” means information, records, text, photographs, files, messages, instructions, and other content submitted to the Service by or for a user. As between Base509 and the submitting user, that user retains its rights in User Content, subject to the rights of Providers, End Clients, workers, and other individuals under applicable law.
You grant Base509 a nonexclusive, worldwide, royalty-free license to host, copy, transmit, organize, display, secure, back up, and otherwise process User Content only as needed to provide, maintain, support, secure, and improve the Service; follow authorized instructions; comply with law; and enforce the applicable agreement. The license ends when the content is deleted, except for lawfully retained copies.
You represent that you have the rights, notices, consents, and lawful basis needed to submit and use User Content. User Content must not violate law, infringe rights, disclose information without authority, or contain malicious code.
For Provider-controlled personal information concerning End Clients or workers, the Provider is the Controller or business and Base509 is the Processor or service provider. The Data Processing Addendum applies to that Processing. Base509 is an independent Controller or business for its own account administration, authentication, security, subscription, direct-support, and legal-compliance information.
7. Base509 intellectual property and license
The Service, software, designs, workflows, documentation, text, graphics, logos, trademarks, and other Base509 materials are owned by Base509 or its licensors and are protected by intellectual-property laws.
Subject to the applicable agreement and payment of applicable fees, Base509 grants you a limited, nonexclusive, nontransferable, non-sublicensable, revocable right to access and use the Service for its intended purpose during the applicable account or subscription term. No ownership interest is transferred.
You may not copy, sell, sublicense, rent, lease, distribute, reverse engineer, decompile, bypass, scrape at scale, create derivative works from, or use the Service to build a competing product, except to the limited extent a restriction is prohibited by law.
If you voluntarily provide feedback, you grant Base509 a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided that Base509 does not publicly identify you without permission.
8. Third-party services
The Service interoperates with services supplied by third parties, including Supabase, Stripe, Google, Apple, Vercel, Resend, Expo, Google Maps, device-platform services, and error-monitoring providers. A third-party service may have separate terms and privacy practices. Base509 is not responsible for a third party’s independent acts, outages, decisions, verification, payment holds, account restrictions, or changes.
Your use of a third-party service is at your own risk and may require a separate agreement with that provider. Base509 does not control Stripe underwriting, identity verification, payment processing, disputes, reserves, or payouts.
The Service includes Google Maps features and content. By using the Service you agree to the Google Maps/Google Earth Additional Terms of Service (https://maps.google.com/help/terms_maps/) and acknowledge the Google Privacy Policy (https://policies.google.com/privacy).
9. Service changes, availability, and support
Base509 may modify the Service, add or remove features, impose reasonable usage or security limits, and update technical requirements. Base509 will not retroactively reduce a paid plan’s core subscription entitlement during its paid term without a lawful remedy. Feature availability may depend on plan, role, device, location, third-party availability, or compliance requirements.
The Service may experience interruptions, delays, errors, or data loss. Providers must maintain appropriate operational, emergency, and recordkeeping procedures so an outage does not endanger animals, people, property, or business continuity. PetAppro is not a system of record for emergency response.
10. Suspension and termination
Base509 may investigate suspected violations and may remove content, restrict a feature, revoke sessions, suspend an account, or terminate access when reasonably necessary to:
- address nonpayment, fraud, abuse, or a material breach;
- protect the security, integrity, availability, or lawful operation of the Service;
- prevent harm to a person, animal, property, Provider, End Client, or third party;
- comply with law, legal process, or a payment or infrastructure provider’s requirement; or
- prevent unauthorized or prohibited use.
When circumstances permit, Base509 will provide notice and a reasonable opportunity to cure. Immediate action is permitted for urgent security, legal, fraud, payment, or safety risks.
Suspension or closure must not be used to abandon an animal or evade an active service obligation. If an animal is in a Provider’s custody or a service is in progress, Base509 may restrict the account to functions necessary for safety, communication, documentation, refunds, and orderly closure while the Provider remains responsible for the animal and End Client.
11. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” BASE509 DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.
BASE509 DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR A PARTICULAR PROVIDER, PET, SERVICE, WORKFLOW, LEGAL REQUIREMENT, OR DEVICE. BASE509 DOES NOT WARRANT OR GUARANTEE ANY PROVIDER, END CLIENT, PET-CARE SERVICE, BOOKING, PAYMENT, REFUND, INSURANCE, LICENSE, BACKGROUND CHECK, OR OUTCOME.
Some jurisdictions do not permit certain warranty exclusions. Those exclusions apply only to the extent permitted by law.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BASE509 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM A PROVIDER’S PET-CARE SERVICES, EMPLOYMENT PRACTICES, CONTENT, CLIENT RELATIONSHIP, BOOKING, PAYMENT, REFUND, OR DISPUTE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, BASE509’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THE APPLICABLE AGREEMENT WILL NOT EXCEED:
- for a Provider, the subscription fees the Provider paid to Base509 during the 12 months immediately preceding the event giving rise to the claim; or
- for an End Client or other person who paid no subscription fee to Base509, one hundred U.S. dollars (US $100).
These limitations apply to all theories of liability and in the aggregate, but do not limit liability that cannot lawfully be limited, including liability for Base509’s fraud, willful injury, or other conduct for which limitation is prohibited by applicable law. The limitations do not reduce any non-waivable consumer remedy.
13. Dispute resolution and mandatory individual arbitration
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE LIMITED EXCEPTIONS BELOW, IT REQUIRES BASE509 AND YOU TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, WAIVES A JURY TRIAL, AND PROHIBITS CLASS, COLLECTIVE, CONSOLIDATED, AND REPRESENTATIVE PROCEEDINGS. YOU MAY OPT OUT WITHIN 30 DAYS.
Covered disputes
Except for an Excluded Dispute identified below, “Dispute” means any claim, controversy, or dispute between you and Base509 arising out of or relating to PetAppro, the Service, User Content, a Provider or End Client relationship, these Platform Terms, a role-specific agreement, the Privacy Policy, or any interaction or communication between you and Base509. “Dispute” includes past, present, and future claims based in contract, tort, statute, regulation, equity, or another legal theory.
Informal dispute notice
Before starting arbitration or a court proceeding other than an urgent request for temporary injunctive relief, the claimant must send an individualized written notice describing the claimant’s name and account email, the facts, the legal basis of each claim, the requested relief, and a personally signed statement authorizing the notice.
Notices to Base509 must be emailed to support@base509.com with the subject “Notice of Dispute” or mailed to the ordinary notice address in Section 18. Base509 will send its notice to the email or mailing address associated with the account. The parties will meet and confer in good faith, individually, by telephone or videoconference if either requests it. If the Dispute is not resolved within 30 days after receipt of a complete notice, either party may begin arbitration or an eligible court proceeding. Applicable limitations periods and filing-fee deadlines are tolled during that 30-day period.
Small claims and other excluded disputes
Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or emergency injunctive relief from a court to preserve the status quo or prevent imminent harm while arbitration proceeds. Either party may bring a court action concerning unauthorized access, misuse of credentials, or infringement or misappropriation of that party’s intellectual property. A person may elect a court proceeding for a claim that federal law makes exempt from predispute arbitration at that person’s election, including a qualifying sexual-assault or sexual-harassment dispute under 9 U.S.C. Chapter 4.
A claim for public injunctive relief that applicable law does not permit to be waived or decided in arbitration may be brought in court after the individual arbitrable claims and issues are resolved. The court action will be stayed to the extent permitted while arbitration proceeds.
Arbitration agreement, rules, and forum
The Federal Arbitration Act governs this arbitration agreement. Arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules for an End Client or other person using PetAppro for personal or household purposes and under the AAA Commercial Arbitration Rules for a Provider or other business use, in each case as modified by this Section. The AAA Mass Arbitration Supplementary Rules apply to a Mass Filing. The applicable rules are available at https://www.adr.org.
One neutral arbitrator will decide the Dispute. The arbitrator may award any individualized remedy a court could award, including damages, declaratory relief, and injunctions, but may award relief only to the individual party seeking it and only to the extent necessary to resolve that party’s claim.
An End Client may choose a documents-only, telephone, video, or in-person hearing as permitted by the Consumer Arbitration Rules. An in-person consumer hearing will occur in the county where the End Client lives or another mutually agreed location. A Provider hearing will occur remotely or in San Francisco, California, unless the parties agree otherwise.
If AAA is unavailable or declines to administer a properly filed arbitration and the parties cannot agree on a substitute, a court with jurisdiction will appoint an arbitrator under 9 U.S.C. § 5. The arbitration will proceed on an individual basis under the applicable AAA rules unless law requires a different procedure.
Arbitration fees and attorneys’ fees
For a consumer arbitration, the End Client’s filing fee will not exceed the amount required to file an equivalent action in the appropriate court. Base509 will pay the remaining AAA administrative and arbitrator fees to the extent required by the Consumer Arbitration Rules or applicable law. For a Provider arbitration, fees will be allocated under the Commercial Arbitration Rules and applicable law.
The arbitrator may award attorneys’ fees and costs only when the applicable substantive law permits. Base509 will not seek its attorneys’ fees or costs from an End Client unless the arbitrator determines that the claim was frivolous or brought for an improper purpose under the standard applicable in court.
Delegation
After a court determines that an arbitration agreement was formed and that no valid opt-out applies, the arbitrator has exclusive authority to decide disputes concerning the interpretation, scope, applicability, enforceability, or validity of this arbitration agreement, including a claim that all or part of it is void or voidable.
A court, not an arbitrator, will decide a dispute concerning contract or arbitration-agreement formation, whether an opt-out was timely and valid, the enforceability of the class-action or representative-action waiver, whether a claim seeks non-waivable public injunctive relief, or compliance with the Mass Filing and batching provisions below.
Individual proceedings; class, collective, and jury-trial waivers
BASE509 AND YOU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY BRING, JOIN, OR PARTICIPATE IN A CLASS, COLLECTIVE, COORDINATED, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR ARBITRATION, EXCEPT FOR THE ADMINISTRATIVE MASS-FILING PROCEDURES BELOW. THE ARBITRATOR MAY NOT PRESIDE OVER A CLASS OR REPRESENTATIVE PROCEEDING OR AWARD RELIEF TO ANYONE OTHER THAN THE INDIVIDUAL CLAIMANT.
TO THE FULLEST EXTENT PERMITTED BY LAW, BASE509 AND YOU WAIVE THE RIGHT TO A TRIAL BY JURY for any Dispute, including a Dispute excluded from arbitration or returned to court. This waiver does not prevent an eligible individual small-claims action or waive a right that applicable law makes non-waivable.
Mass Filings and administrative batching
A “Mass Filing” exists when 25 or more substantially similar individualized notices or arbitration demands are asserted against the same party within a 180-day period and the claimants are represented or assisted by the same or coordinated counsel or organizations.
The parties will meet and confer for at least 30 days after identification of a Mass Filing to confirm that each claimant supplied an individualized and personally authorized notice, identify common and individual issues, and establish an efficient filing schedule. Limitations periods and filing deadlines are tolled for participating claimants from receipt of a complete notice until the claimant’s demand may be filed under the agreed or ordered schedule.
A Mass Filing will be administered under the AAA Mass Arbitration Supplementary Rules. The AAA Process Arbitrator may organize demands into administrative batches of no more than 50 claimants, coordinate schedules and common procedural questions, and appoint one or more merits arbitrators as the rules permit. Batches will proceed concurrently as administrative capacity permits and will not be used to impose an unreasonable sequential delay.
Each claimant retains an individual case, an opportunity to be heard, and the right to seek individualized relief. No test-case, bellwether, batch, or other award binds a person who was not a party to that arbitration, and no award has precedential effect in another claimant’s case. Filing, initiation, administrative, and arbitrator fees become due only when and as assessed under the applicable AAA mass-arbitration fee schedule.
Opting out of arbitration
You may opt out of this arbitration agreement by sending an email to support@base509.com with the subject “Arbitration Opt-Out” within 30 calendar days after you first accept an agreement containing this arbitration provision. The notice must include your full name, account email, Provider name and business identifier if applicable, and an unequivocal statement that you opt out of the PetAppro arbitration agreement. An Authorized User may opt out only for that person and not for the Provider unless authorized to act for the Provider.
A timely opt-out does not affect access to the Service or any other term. Base509 will provide a retainable confirmation. If you do not timely opt out, this arbitration agreement applies according to its terms.
If Base509 materially changes this arbitration agreement, Base509 will provide at least 30 days’ advance notice. You may reject the change by following the stated opt-out method during that notice period, in which case the prior arbitration agreement will continue to govern. A change does not affect a Dispute for which a complete notice was received before the change’s effective date.
Arbitration severability
This Section survives termination. If a provision other than the class, collective, consolidated, mass, or representative-action waiver is unenforceable, it will be severed and the remainder enforced. If a court finally determines that the waiver prohibits a claim or remedy that cannot lawfully be waived, that claim or remedy will proceed in court and the remaining individual claims will be arbitrated to the fullest extent permitted. No class or representative arbitration may occur without Base509’s and the affected claimant’s express written agreement after the Dispute arises.
14. Governing law and court venue
The applicable agreement is governed by California law and applicable United States federal law, without regard to conflict-of-law principles. Applicable ordinances of the City and County of San Francisco apply where they govern the parties or transaction.
For a Provider Dispute that is excluded from arbitration, brought after a valid arbitration opt-out, or concerns enforcement of an arbitration award, the state courts located in the City and County of San Francisco and the United States District Court for the Northern District of California have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
For an End Client or other consumer, the court-venue provision does not waive a non-waivable right to bring or defend an action in another court or county authorized by applicable consumer or venue law. If no non-waivable alternative applies, the courts identified above have jurisdiction.
15. Changes to the agreements
Base509 may update these Platform Terms or a role-specific agreement prospectively. We will post the updated version and effective date. For a material change, Base509 will provide at least 30 days’ advance notice by email, in-product notice, or another conspicuous method, unless a shorter period is reasonably necessary to comply with law or address an urgent security, fraud, safety, or operational risk.
Base509 will obtain fresh acceptance when required by law or when a change materially affects payment, renewal, cancellation, liability, indemnification, ownership, or dispute terms. Changes do not retroactively alter an accrued claim or completed transaction. Arbitration changes are governed by Section 13.
16. Notices and communications
You consent to receive electronic records and transactional communications concerning your account, authentication, security, bookings, payments, subscription, renewals, policy changes, and legal notices. You may withdraw consent to electronic records where law permits, but withdrawal may prevent continued use of an online-only Service.
Marketing email is separate from transactional and relationship communications. You may unsubscribe from marketing email without stopping service, security, billing, booking, or legal communications.
17. General terms
These Platform Terms, the applicable role-specific agreement, incorporated policies, and any applicable order form constitute the entire agreement between Base509 and you concerning the Service. For a Provider, the Data Processing Addendum controls Processing of Provider Personal Data, and an order form controls only the Provider-specific subject it expressly addresses. A Provider’s client-service terms govern its pet-care relationship with an End Client but do not alter Base509’s agreements or obligations.
If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and severed only to the extent necessary; the remaining provisions remain effective. Section 13 has its own severability rule. A failure or delay to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance.
You may not assign the applicable agreement without Base509’s written consent. Base509 may assign it in connection with a merger, acquisition, reorganization, financing, sale of assets, or operation of the Service, provided that the assignee assumes the applicable obligations.
Base509 is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, utility or network failures, governmental action, labor disputes, war, terrorism, civil disturbance, epidemic, cyberattack, or failure of a third-party service, except that this provision does not excuse a payment obligation already due or a duty that applicable law does not permit us to disclaim.
No person other than the parties is a third-party beneficiary, except that Base509’s indemnified parties may enforce an applicable indemnification provision. Headings are for convenience. “Including” means “including without limitation.” Provisions that by their nature should survive termination will survive, including payment obligations, ownership, confidentiality, retained-record provisions, disclaimers, limitations, indemnification, and disputes.
